ToXSL Technologies will defend the Customer against any claim that the Service infringes the intellectual property rights of a third party and pay any damages finally settled or awarded in a trial to the third party with respect to any such claim, provided that ToXSL Technologies is notified promptly in writing of the claim and given sole control of the defence and all related settlement negotiations in relation to the claim as well as reasonable assistance and necessary authorisations from Customer to defend or settle the claims on behalf of Customer.

      1. modify/replace the Service to eliminate the infringement in such a manner that the modified Service complies with this Agreement

      2. procure to Customer a right to use the Service. If none of the aforementioned alternatives are reasonably possible, ToXSL Technologies shall have the right to terminate this Agreement and ToXSL Technologies shall refund to Customer the prices paid for the Service by Customer less the price corresponding the time Customer has been able to use the Service in accordance with this Agreement. ToXSL Technologies shall, however, not be liable for any infringement or claim thereof in the event the claim.

        1. is made by any affiliates of Customer

        2. has resulted from Customer’s or Customer’s supplier’s or User’s use or modification of or addition to the Service

        3. could have been avoided by using the latest version of the Service provided by ToXSL Technologies

        4. is not related to the Service or any part of the Service for which ToXSL Technologies is not responsible for pursuant to this Agreement or statutory requirements. This section contains ToXSL Technologies entire liability and Customer’s sole and exclusive remedy in case of intellectual property rights infringements. Customer shall indemnify, defend, and hold ToXSL Technologies harmless from and against all liabilities, damages and costs (including settlement costs and reasonable attorneys’ fees) arising out of any breaches of this Agreement by Customer, Customer’s personnel and/or Users.

     

  • With whom do We share your personal data?

    We may transfer or share your Personal Data with third parties such as our service providers and vendors, business partners, professional and corporate advisors, public or government authorities including law enforcement, network providers, third-party websites, and our affiliates or subsidiaries. When required, ToXSL may disclose your Personal Data to external law enforcement bodies or regulatory authorities, in order to comply with legal obligations. We may also disclose your personal data where mandated by law and as further required when We believe in good faith that disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request.


Refund Policy

At ToXSL Technologies, we are committed to providing high-quality software development services. We understand that clients may have concerns about payment and refunds. However, as part of our standard business practices, we have established the following refund policy:

1. Non-Refundable Payments: All payments made for software development services are non-refundable. This includes payments for initial deposits, milestone payments, and final payments.

2. Applicability of Policy: This policy applies to all stages of the project, including the commencement of work, progress milestones, and completion of the project.

3. Finality of Payments: Payments are considered final once received, regardless of the progress or outcome of the project. No refunds will be issued after payment has been processed.

4. No Refunds for Client Dissatisfaction or Delays: Refunds will not be issued under any circumstances, including but not limited to client dissatisfaction, delays caused by the client, or any other unforeseen issues.

5. Approval of Project Milestones: Clients are responsible for reviewing and approving each project milestone before making payments. This ensures that the scope and direction of the project meet expectations at each stage.

6. Scope Adjustments: Any changes or adjustments to the project scope, whether requested by the client or arising from unforeseen circumstances, may incur additional charges. However, this will not affect prior payments already made.

7. Termination of Project: In the event that the client decides to terminate the project, payments made up until the termination date are non-refundable.

8. Clear Communication: Clients are strongly encouraged to communicate their requirements and expectations clearly at the outset of the project to avoid any misunderstandings during development.

9. Revised Proposals for Scope Modifications: If the project scope needs to be modified, we will provide a revised proposal and updated pricing for the client’s approval. Additional charges may apply depending on the changes.

10. Client-Related Delays: Any delays caused by the client, such as failure to provide necessary information, feedback, or approvals in a timely manner, will not result in a refund.

11. Delays from Our Team: In the event of delays from our team, we will communicate the impact and offer reasonable solutions, such as adjusted timelines or project rescheduling. However, payments remain non-refundable.

12. Acceptance of Policy: By signing the contract and engaging in our software development services, the client accepts this refund policy as part of the service agreement.
